Ron J. Miller, Esq.

Ron’s keen eye for offense and defense in business has been honed in both public and privately owned enterprises, from inside as well as outside, in a variety of industries. He brings breadth and depth of experience in entrepreneurial, corporate, real estate, and financial questions, transactions, and processes – from early stage through merger and sales.

In practice since 1995, Ron’s affiliations include a Portland-based law firm that he co-founded, the London office of an AmLaw 100 law firm and mid-sized law firms in Chicago. He earned his law degree at Notre Dame, undergraduate in business finance at Washington State University. Ron has been admitted to the bar in Oregon and Illinois. Prior to law, he served as financial accountant for a major oil company.

His broad-based experience of business transactions includes: shareholder issues and agreements; business mergers, acquisitions and dispositions; private equity and venture capital transactions; joint ventures; common and preferred equity financings, secured debt financings, financings involving options, warrants and other convertible instruments, recapitalizations, and securities law compliance.

In addition, Ron has advised entrepreneurial and early stage clients in the areas of business entity selection, organization and incorporation, technology licensing, intellectual property protection, corporate governance, employee compensation programs, buy/sell arrangements, and commercial contracts, including employment, product and service distribution, and management. His real estate experience includes acquisition, leasing, and financing transactions.
